Terms of Service: Elix Asset Management Software

Based on the core legal frameworks, operational guardrails, and risk allocations found in standard industry agreements, the following Terms of Service have been structured specifically for Elix, focusing on multi-level approval workflows, multimodal tracking (QR, RFID, Bluetooth, GPS), and enterprise asset lifecycle management.

1. Structure, Order Forms, and Hierarchy

  • Incorporation of Order Forms: These Terms of Service (the “Terms”) govern your use of the Elix software, website, and services. If you execute a separate, dedicated Order Form for corporate deployment or specific project mobilization, that Order Form is fully incorporated into these Terms.
  • Conflict Resolution: In the event of an explicit conflict between the general provisions of these Terms and the specific negotiated clauses within an incorporated Order Form, the Order Form will govern.
  • Organizational Authority: If you accept these Terms on behalf of an enterprise, company, or organization, you represent and warrant that you possess the legal authority to bind that entity. In such scenarios, “you” and “your” refer directly to the organization, which agrees to indemnify Elix for any system violations.
  • Third-Party Rights: Nothing contained within these Terms is intended to, or shall be deemed to, confer any enforceable rights, benefits, or legal remedies upon any third-party individual or entity.

2. Policy Modifications and Notifications

  • Right to Modify: Elix reserves the explicit right to modify, update, or change these Terms, as well as any operational policies or technical guidelines governing the platform, at any time in its sole discretion.
  • Effective Dates: Any modifications or updates to the Terms will become legally binding upon the next renewal cycle of your active service subscription.
  • User Obligation to Review: Continued utilization of the Elix platform following a posted update constitutes automatic acceptance of the revised terms. Users are expected to frequently review the active Terms of Service to remain aware of current compliance standards.
  • Sole Recourse: If you disagree with any modified terms, your sole and exclusive recourse is to immediately terminate use of the Elix platform and services.

3. Data Privacy and Cross-Border Transfers

  • Privacy Commitment: We maintain strict standards regarding user and system data privacy. All use of the platform signifies full acknowledgment and baseline agreement with the standalone Elix Privacy Policy.
  • International Data Storing: For clients operating internationally or outside the primary cloud infrastructure location, you explicitly acknowledge and agree that your system data, asset registries, and user information may be transferred to, stored on, and processed by servers located within the United States, in accordance with global technical support standards.

4. User Accounts, Seats, and Corporate Control

  • Registration Integrity: Accessing the Elix asset lifecycle system requires explicit user registration, utilizing true, accurate, and complete company and billing data.
  • Seat Allocation Restraints: If your corporate subscription is subject to specific user seat limits, only one individual may utilize a designated seat. Sharing single-user credentials to bypass seat allocations is strictly prohibited, and organizations are responsible for acquiring a sufficient volume of seats to mirror actual usage.
  • Organizational Control: If your account is provisioned or paid for by your employer or an organization, that organization retains absolute authority over your account profile. This includes the right to:
  • Administrator Responsibility: Primary corporate administrators are responsible for ensuring that all personnel, field technicians, and supervisors permitted to access the system have thoroughly reviewed and agreed to comply with these terms.

5. System Content, Restricted Sensitive Data, and Feedback

  • Content Definition & Rights: “Content” includes all asset names, tracking IDs, photographs, multi-level approval logs, custom fields, and physical tracking data uploaded to Elix. You guarantee that you hold all necessary legal rights, permissions, and consents to upload and process this data.
  • Strictly Prohibited Data Categories: To maintain system integrity and compliance, you agree not to upload, sync, or enter any of the following restricted data types without prior written approval from Elix:
  • Data Rights Granted: By uploading asset details, you grant Elix a non-exclusive, royalty-free license to host, reproduce, and display that content solely to the extent necessary to deliver the asset management services.
  • Feedback Rights: Any system feedback, enhancement requests, or workflow optimization suggestions submitted to Elix are handled as non-confidential. Elix retains exclusive ownership over any system improvements, modules, or features engineered based on user feedback, without obligation or compensation to the user.

6. Data Security and Independent Backup Mandates

  • Independent Backup Responsibility: While Elix utilizes robust cloud security to protect active data, you remain solely responsible for maintaining an external, independent backup of all asset logs and system registries. Elix is not liable for data loss, unretrievable records, or sudden synchronization corruption occurring on physical devices.
  • Multi-Platform Synchronization Disclaimer: Elix is not responsible for data transmission delays, hardware errors, or network friction encountered when syncing the system across multiple endpoints, such as handheld RFID readers, mobile devices, or office desktops.
  • Third-Party Infrastructure Limitations: Elix utilizes external hosting and security providers for foundational encryption. You acknowledge that vendors are responsible for their infrastructure security, and Elix cannot guarantee absolute immunity from sophisticated security incidents beyond standard commercial safeguards.
  • Compliance Verification: You hold sole responsibility for ensuring that Elix’s operational environment and tracking mechanics satisfy any specific localized legal, trade, or regulatory requirements dictated by your specific industry or region.

7. Acceptable Use Policy

You agree that neither you nor any corporate users authorized under your license will encourage or assist parties to:

  • Build a similar, competitive, or derivative asset management product using proprietary information, design schemas, or interface workflows accessible only via an Elix account.
  • Damage, disable, or deliberately overburden Elix’s cloud servers or connected networks.
  • Resell, redistribute, lease, or sub-license the software platform without prior corporate written authorization.
  • Deploy automated scrapers, bots, spiders, or intensive periodic caching mechanisms to extract asset data from Elix outside authorized API integrations.
  • Exceed designated data storage allocations, user thresholds, or active system limits in violation of fair use.
  • Upload malware, malicious code, or legally non-compliant documents that could expose Elix to investigations, regulatory fines, or third-party lawsuits.

8. Intellectual Property (Copyright & Trademarks)

  • Elix Proprietary Materials: The software engine, code base, user interface design, logo marks, layout designs, digital downloads, and custom structural reporting elements are the exclusive intellectual property of Elix or its licensors, protected fully by copyright laws.
  • License Scope & Restrictions: Elix grants your organization a limited, non-sublicensable, non-exclusive, and revocable license to access the system for authorized business operations. You are prohibited from copying, reverse-engineering, modifying, or creating derivative variations of any portion of the software.

9. Comprehensive Disclaimer of Warranties

  • “As Is” Baseline: The Elix system, multi-level workflows, tracking modules, and customer support channels are provided strictly on an “As Is” and “As Available” basis.
  • Absolute Disclaimers: Elix explicitly disclaims any and all warranties, whether express, statutory, or implied, including but not limited to:
    • Warranties of merchantability or fitness for a particular business purpose.
    • Guarantees of absolute software uptime, uninterrupted operations, or error-free script execution.
    • Warranties surrounding the total accuracy of synchronized tracking data across third-party GPS, RFID, or Bluetooth nodes.

10. Strict Limitation of Liability

  • Exclusion of Consequential Damages: In no event shall Elix or its licensors be liable for any loss of revenue, loss of business profit, loss of data, or indirect, incidental, or consequential damages arising from system use, even if advised of the possibility of such damages.
  • Liability Ceiling: Elix’s total cumulative financial liability for any claims brought under contract, tort, or strict liability shall not exceed the greater of:
    1. The exact net amount received by Elix from you solely for your platform subscription access during the active period.
    2. $10 USD (or local equivalent).
  • Multiple Claims: The existence of multiple distinct system claims or platform legal disputes will not expand or modify this baseline financial limitation.

11. Subscription Management, Fees, and Automatic Renewals

  • Billing Cycles: Subscription fees for Elix are billed strictly in advance on a recurring monthly or annual schedule, depending on your selected corporate plan.
  • Automatic Renewal Action: Subscriptions automatically renew at the end of each payment period for an identical duration unless the customer explicitly cancels or downgrades the account before the next billing cycle via the platform or by emailing support. Deleting a mobile client app from an active tracking device does not cancel your subscription or stop automated renewals.
  • Fee Adjustments: Elix reserves the right to adjust platform fees at its discretion. Price changes for fixed-term or standard recurring subscriptions will be communicated at least 30 days in advance. If you do not agree to the adjusted fee structure, you must formally cancel your subscription plan at least 30 days prior to the conclusion of the current payment term.
  • Enterprise Invoicing: Enterprise-level plans governed by specific Order Forms are subject to Net 30 days payment terms from the effective start date, unless alternative payment structures are explicitly detailed in the Order Form.
  • Late Penalties & Suspension: Accounts with past due balances are subject to late charges of 1% per month (or the maximum allowable legal rate) on unpaid quantities. Failure to resolve unpaid balances within 7 days can result in immediate account deactivation, platform suspension, and eventual permanent deletion of unbacked file registries.

12. Account Suspension, Termination, and Post-Termination Data Access

  • Right to Suspend: Elix retains the right, without notice and without liability, to immediately suspend or completely terminate your system access if it is reasonably determined that your organization or users have violated these Terms or the Acceptable Use Policy.
  • Data Retrieval Grace Period: If an account is terminated, you may formally request access to retrieve your underlying asset registries within 14 days following termination.
  • Forfeiture of Retrieval Rights: This 14-day data retrieval grace period is not applicable if termination was directly caused by an explicit breach of these Terms or the Acceptable Use Policy. Following the expiration of the 14 days, Elix has no legal obligation to maintain or retrieve stored account registries.

13. Miscellaneous & Legal Jurisdiction

  • Governing Law: These Terms, and all subsequent legal dynamics or platform claims, shall be governed by, construed, and enforced strictly in accordance with the laws of the State of California, without regard to its conflict of law principles.
  • Exclusive Forum Choice: Any lawsuits, equity proceedings, or litigation arising out of Elix platform use must be filed exclusively within the state and federal courts located in San Mateo County, California. Elix retains the right to apply for injunctive remedies or emergency relief in any global jurisdiction worldwide.
  • Assignment Controls: You cannot transfer, delegate, or assign your operational rights or duties under these terms without prior written corporate consent from Elix. However, assignment without consent is permitted to a verified corporate affiliate or to a clear business successor in the event of a corporate merger, acquisition, or restructuring change of control.
